Terms of Use Agreement

1. Introduction
Welcome to scuup.net (the "Service") by Scuup.Net Inc. (the "Company", "we", "us"), a free site where you can quickly find the most highly recommended products in your online community.  To be able to use or join the site you need to read and agree with this terms of use agreement.  

This document may be updated, without prior notice, from time to time.   An updated term of use document will be put at this location and the last modified date, shown at the beginning of this page, will be updated.   Your continued use of the site after an update of this agreement will indicate that you agree with the updated version.  
2. Eligibility
The Service is intended for persons 15 years and older.   We would request that younger persons refrain from using our service.
3. Service Usage
The main purpose of this site is for members to:
  • Find recommendations on products
  • Write recommendations
  • Provide confirmation for recommendations given by others
  • Post and answer questions specific to products
  • Have another channel to keep in touch with friends

You agree to use this site in accordance to the purposes stated above.   Data mining or data collection with or without automation tools are strictly prohibited uses of the Service.

You are responsible for your account and password security.   Any breach of your account needs to be reported promptly.   Accounts are non-transferable.
4. User Conduct
You understand and agree not to engage in any of the following behaviors or actions:
  • Insulting, intimidating, harassing.
  • Defamatory, vulgar, hateful, racist, fraudulent or otherwise objectionable.
  • Opening more than one account.
  • Transferring, selling or exchanging accounts.
  • Impersonating another person.
  • Purposefully posting falsified content or inaccurate information.
  • Posting content on which you don't have copyright to do so.
  • Posting content that are not appropriate to the area where they are posted.  E.g. posting advertisement as a review or posting a question in the review confirmation section.
  • Posting content that violate privacy, confidentiality or are illegal.
  • Posting content that is highly prejudicial to a product provider.   This site is designed to allow you to post recommendations on products that you think are of high value.   It is not designed to point out which products are to avoid.
5. Proprietary Contents Rights
All site contents, which include among others text, picture, photos, logo, trade dress and information are the properties of the Service and its Users with all rights reserved.   No site content may be copied, transmitted, sold, or modified in any way except for your own content that you have posted on the site.   The only exception would be when you have received written permission from the Company.

Provided that you have rightfully gained access to the site, you may download and print some site content for your personal non-commercial use.   You cannot use any automated tools to download content and cannot upload data retrieved from our site, except for your own content, to another website.
6. User Content
User Content consists, among others, of reviews, recommendations, texts, pictures, photos and comments that you post on the Service.

When you post content on the site, you automatically allow the company to make copies of the content for the purpose of facilitating the distribution of the content.   Further you allow the company to reference or highlight content you have posted for purposes advertisement.

When you remove your content from the site or when we terminate your account, or when you terminate your own account and decide to remove the contents that you have posted, the Company will remove those contents from its servers.   Note that back-up versions of those contents may still reside in archives.

You understand and agree:
  • To warrant that content you post on Service does not infringe upon any copyrights.
  • To be sole responsible for the content that you post.
Further, you acknowledge the backing-up of your content is your own responsibility.

You are aware and agree that the Service:
  • Cannot and is not responsible for what content other Users post.   While the Company will monitor activity on the Service, it is not obligated to do so and cannot possibly ensure that all User activity and posts are consistent with this agreement.
  • May remove content that you have posted or made available with or without reason, with or without notice, at it sole discretion.
7. Account Termination
While we will endeavor to avoid terminating any account, your account may be terminated with or without reason, with or without notice, at the Service's sole discretion.

Without limiting the foregoing, the common reasons for account termination initiated by the Service are:
  • Repeated minor violation, or major violation of the terms of use.
  • Repeated minor violation, or major violation of the code of conduct.
  • Repeated infringement of copyrights.
8. Trademarks
"Scuup", "Concur with scuup", "Auto Add Friend", "Get the scuup on ..." and "Empowering people to help each other in finding the right products, for each person, quickly." are the trademarks of the Company.  All trademarks that may be referred to on this site are the exclusive ownership of their respective owners.  
9. Copyright Infringement Complaint
We respect copyrights and should you believe your copyright is being infringed upon, send us an email with the following information:
  1. Detailed identity of the copyrighted work that you believe has been infringed upon.   As applicable, this includes identification of the web page or specific posts, as opposed to entire site.   Posts must be referenced by either the dates in which they appear or the permalink of the post.
  2. Identity of the material that you claim is infringing upon the copyrighted work listed in item #1 above.
    >Include here the name of the concerned litigeous material (all images or posts if relevant) with their complete reference (URL to a post, with title, date, name of the emitter, etc.).
  3. Location of the author copyright notice (for information).  
    >Include here the possible URL of the page in which you have list or give detail about your copyright.  This information is optional as all work of the mind are by default protected by the Copyright Berne Convention.
  4. Information to permit our company, the provider, to contact you.  
    >Include your email, fax or postal address to quickly get a feedback from the Company.  
  5. Statement, reproduce the next statement:
    "I have a good faith belief that use of the copyrighted materials described above on the infringing web pages is not authorized by my registered copyright and by the law.  I swear, under penalty of perjury, that the information in the notification is accurate and that I am the copyright owner of an exclusive right that is infringed."

11. International User
International Users need to be aware that the main servers of the Service are located in Canada.   You agree to warrant that content you post comply with applicable laws in the country you are located and Canada.   Note that we may have mirror servers located in different countries around the world.
12. Entire Agreement
This terms of use agreement constitutes the entire agreement between you and the Service and governs your use of the Service, superseding any prior agreements between you and the Service.
13. Governing Law
This agreement is governed and construed in accordance with the laws of the Province of Quebec, Canada.
14. Disclaimer
  • The Service is provided as is.   There is no warranty whatsoever, explicit or implied, of fitness for any specific use.
  • Usage of information on the Service is at the user's risk.
  • Do not rely on information on this site without independent verification.
  • The company, its employees, directors, partners, associates, members or any other parties that may be connected to the Service cannot be held responsible for any lost that may result from the Service.
  • Trademarks may be referred to in content posted by Users.   This does not imply the Company or the Users who have posted those contents have any rights over those trademarks.   It does not imply endorsement of those trademarks or endorsement by those trademarks' owners.
  • Users are exclusively responsible for the content they post.
  • The company, its employees, directors, partners and associates cannot and is not responsible for User conduct on and off the site.
  • The site may be offline from time to time due to maintenance or technical difficulties.
  • The company, its employees, directors, partners and associates are not responsible of lost content or communication.
  • The Company can change the Service's software and content without notice.
